Please read these Terms of Service ("Terms") and End User License Agreement ("EULA") carefully before purchasing, downloading, or using the Termina software ("Software") or services operated by Termina Systems ("we," "us," or "our").

1. Description of Service

Termina is a local-first writing application. It includes a desktop application that runs on your device and optional cloud services for AI generation and synchronization.

2. License Grant

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to download, install, and use the Software:

  • Lifetime License: If you purchase a lifetime license, you are granted a perpetual license to use the specific version of the Software purchased, including minor updates. Major version upgrades may require a separate purchase unless otherwise stated.
  • Restrictions: You may not reverse engineer, decompile, or disassemble the Software. You may not sell, rent, lease, or distribute the Software to third parties.

3. Account Terms

You are responsible for maintaining the security of your account and any API keys you bring (BYOK). We are not liable for any loss or damage from your failure to comply with this security obligation.

4. User Content

You retain all ownership rights to the content you create ("User Content") using Termina. Since Termina is local-first, your content typically resides on your device. We claim no intellectual property rights over the material you provide to the Software.

5. AI Services & Third-Party Providers

Termina may integrate with third-party AI providers (e.g., OpenAI, Anthropic). Your use of these features is subject to the respective terms and policies of those providers. We are not responsible for the output or availability of these third-party services.

6. Disclaimer of Warranties

The Software is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

In no event shall Termina Systems be liable for any indirect, special, incidental, consequential, or punitive damages (including loss of data or profits) arising out of or in connection with your use of the Software.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Termina Systems is established, without regard to its conflict of law provisions.
